Terms of Service

1. Who we are

webseed OÜ (Reg. No. 16667597) is an Estonia-registered company located at Männimäe/1, Pudisoo küla, 74626, Harju maakond, Kuusalu vald, Estonia. You can reach us at hello@webseed.me or +49 1575 4811549.

2. Scope of services

We provide strategic consulting, brand and messaging development, UX planning, visual/interaction design, and Webflow development. All work is business-to-business (B2B) custom service work, not generic consumer products.

3. Project model / milestones

Projects are split into phases (for example: Discovery & Strategy, Brand / Messaging, Design, Webflow Build, Handover). Each phase has defined deliverables, timelines, and an invoice. A deposit may be required to begin work and reserve production time.

By approving deliverables from a phase, you confirm that phase as complete and payable.

4. Payment

Invoices are typically issued in EUR (€) and payable by bank transfer, Wise transfer, or (if available) card / Apple Pay / Google Pay via Wise Business. Payment terms are defined on the invoice.

5. Ownership & usage rights

After all invoices are paid in full, you receive ownership and usage rights to the final approved deliverables in that project scope (for example: brand assets, page designs, Webflow build). We keep the right to show non-confidential work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Revisions

Each phase includes up to a reasonable number of review rounds (normally two) for refinement within the agreed scope. Additional changes outside scope or after sign-off may be billed at our hourly/phase rate.

7. Cancellations & refunds

Because our work is custom and time-reserved, deposits and any fully delivered milestones are non-refundable once the deliverables for that milestone have been presented. Details are described in our Refund & Cancellation Policy.

8. Responsibility / limitation of liability

We deliver work with professional care and experience. Once a project is approved and handed over, we cannot take responsibility for changes made by third parties, hosting providers, other vendors, or platform/policy changes outside our control (for example: Webflow changes; Google search algorithm updates; policy changes by ad networks).

We are not liable for indirect or consequential damages such as lost revenue, downtime, or reputational damage. Nothing in these terms is intended to limit any mandatory legal rights you may have under applicable law.

9. Confidentiality

We treat client materials, business context, and internal information as confidential. You agree to treat any non-public process, documentation, pricing, or IP we share as confidential unless otherwise agreed.

10. Governing law

Unless explicitly agreed otherwise in writing, these Terms are governed by Estonian law. Any dispute will be handled in the competent courts of Estonia.
